Terms of Service

1. Acceptance of Terms
By subscribing to and using the earnings.chat service ("Service") provided by DREAVERR DIGITAL SOLUTIONS LLP, operating under the brand name earnings.chat, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
2. Service Description
The Service is a chat interface over earnings call transcripts. Subscribers ask questions in plain language and receive AI-generated answers grounded in a knowledge base of earnings call transcripts. The Service includes:
- Question answering: Answers to questions about earnings calls, companies, sectors and time periods, with verbatim quotes and named sources.
- Analysis and summaries: AI-generated summaries, comparisons, assessments and evaluations of earnings call content, including charts and tables derived from queried figures.
- Current coverage: New earnings calls are added to the knowledge base shortly after publication; the knowledge base also covers historical calls.
- Model tiers: Two answer models with different depth and token consumption, selectable per question.
The chat interface is the primary and only interface of the Service. The Service does not provide API access, bulk data access, or data licensing.
3. No Financial Advice
- Informational Purposes Only: The answers, summaries, analyses, charts and any other content provided through the Service are for informational purposes only and should not be interpreted as financial or investment advice.
- AI-Generated Content: Answers are generated by artificial intelligence and may contain errors or omissions, even though they are grounded in transcript data and sources are named.
- No Guarantee of Results: The Service does not guarantee any specific outcomes, such as financial gain or market performance.
4. Rights and Usage
- Right to Access: Subscribers are granted a non-exclusive, personal, non-transferable right to use the chat interface and the answers it produces.
- Permitted Usage: Subscribers may use the Service and its answers for:
- Personal analysis and research
- Internal decision support based on earnings call data
- Quoting individual answers with attribution
- Prohibited Usage: Subscribers may not:
- Resell, redistribute or sublicense access to the Service or systematically republish its answers
- Use automated means to extract large portions of the underlying transcript data through the chat
- Reverse engineer, decompile, or attempt to extract source code or models from the Service
- Attempt to circumvent token metering, authentication, or security measures
- Use automated means to excessively burden the Service infrastructure
5. Risk Acknowledgment
- Market Uncertainty: The financial markets are inherently unpredictable, and insights derived from earnings call data do not guarantee future outcomes.
- Independent Research: Subscribers are encouraged to conduct independent research and validate any findings before making financial or investment decisions.
- Personal Responsibility: Any actions taken based on answers provided by the Service are solely the subscriber's responsibility.
6. Limitation of Liability
- No Liability for Losses: We are not responsible for any losses or damages resulting from the use of answers, analyses, or any other content provided by the Service.
- No Warranty: We do not warrant the accuracy, completeness, or reliability of the answers or the underlying data.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.
7. Disclaimer of Warranties
The Service, including the chat interface, AI-generated answers, and underlying data, is provided on an "as is" and "as available" basis without any warranties, express or implied.
8. Plans, Token Budgets & Acceptable Use
Each subscription plan includes a monthly token budget, as shown on the pricing page at earnings.chat. Tokens measure the compute used to generate answers; deeper reasoning consumes more tokens per answer. The budget renews with each billing period; unused tokens do not carry over.
- Metering: Token usage is metered per account and shown in the chat interface.
- Budget exhaustion: When a plan's monthly token budget is exhausted, we reserve the right to pause further answers until the budget renews or the subscriber upgrades.
- Personal accounts: Accounts are personal. Sharing one account across many independent users to evade plan limits is not permitted.
- Fair use: If we detect usage patterns indicating abuse, such as systematic extraction of the underlying dataset through the chat or account sharing at scale, we may require an appropriate plan, suspend access pending clarification, or terminate the subscription where the conduct is deliberate abuse.
9. Payments & Subscriptions
All paid subscriptions are processed by Paddle.com as the authorized reseller and merchant of record.
- Merchant of Record: Subscriptions are purchased through Paddle.com. Your payment contract is with Paddle, who acts as merchant of record.
- Paddle's Terms: By subscribing you agree to Paddle's Buyer Terms in addition to these Terms of Service.
- Cancellation: Cancel anytime via the "Manage subscription" link in your purchase confirmation email, via paddle.net, or from your earnings.chat account settings. Cancellation takes effect at the end of the current billing period; access continues until that date.
- Refunds: Refunds are handled by Paddle in accordance with Paddle's Refund Policy. Request via paddle.net or email [email protected].

10. Service Availability
We strive to maintain high availability of the Service but do not offer a contractual uptime SLA at this time. We reserve the right to perform scheduled maintenance with reasonable advance notice.
11. Changes to the Service and Terms
- Modification Rights: We reserve the right to modify, update, or discontinue features of the Service, the models, or the knowledge base at any time without prior notice.
- Updates to Terms: These Terms may be updated periodically. Users will be notified of significant changes, and continued use of the Service constitutes acceptance of the updated Terms.
12. Termination
We reserve the right to suspend or terminate access to the Service for any reason, including violation of these Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of CANADA, British Columbia, without regard to conflict of law principles.
14. Company Information
The Service is provided by DREAVERR DIGITAL SOLUTIONS LLP. earnings.chat is a brand of DREAVERR DIGITAL SOLUTIONS LLP. Payments are processed by Paddle.com as the authorized merchant of record.
15. Website Media, Fair Use & Takedown
The earnings.chat website uses short excerpts of publicly available video footage of public figures, such as executives speaking at public events, for editorial and illustrative purposes. We believe this use constitutes fair use. The footage does not imply any affiliation with, or endorsement by, the persons or companies shown.
If you are a rights holder, or a person shown, and believe any material should be removed, credited differently, or otherwise handled, contact [email protected] with the URL of the material and a short description. We review takedown requests promptly and remove or replace material where appropriate.
